Job Description: 

METLEN Energy & Metals, a utility-scale world class EPC, is seeking for its Italian subsidiary METKA EGN a Head of Asset Rotation.

 

Role Purpose:

Lead East Europe asset rotation for late‑stage to COD solar, BESS, and hybrid projects, owning the end‑to‑end process from pre‑sales to closing. The role is strongly execution‑driven, with a primary focus on SPA and transaction documentation/negotiation, seamless cross‑functional coordination, and on‑time, value‑maximizing closings. 

 

Key Responsibilities:

Asset Rotation Strategy & Execution (Primary Focus: Market Scouting, Client Identification, Transaction Documentation & Negotiation) 

  • Proactively scout markets and identify target buyers (utilities, IPPs, infrastructure funds, corporates) to shape the selldown/bolton strategy by country/segment. 

  • Set the endtoend negotiation strategy; lead redlines, coordinate internal approvals, and maintain overall documentation governance and version control. 

  • Prepare or oversee teasers, process summaries/letters, and all investorfacing transaction materials. 

  • Build and run the deal execution plan (timeline, owners, critical path, dependencies). 

  • Stand up and govern the data room (indexing, population, audit trail) and manage investor Q&A. 

  • Coordinate all duediligence workstreams (technical, legal, financial, land, grid, tax, ESG); consolidate findings into the transaction case. 

  • Ensure full transactionready documentation, complete, consistent, and aligned with Investment Committee requirements. 

Transaction Management & Closing 

  • Own CPs (conditions precedent), completion accounts, and funds‑flow mechanics; align advisors and internal teams to meet long‑stop dates. 

  • Deliver on‑time closing with high certainty of execution; manage signing/closing logistics and filings. 

  • Post‑deal transition: oversee TSA/transition obligations, buyer interface, and clean handovers. 

  • Risk management & reporting: keep a structured risk/issue log and provide crisp senior‑management reporting. 

Internal Leadership & Coordination 

  • Development: ensure land, grid, and permitting are complete and fully documented; resolve gaps impacting CPs. 

  • EPC: align commercial close with construction progress, commissioning/testing, H&S deliverables, and evidences tied to CP satisfaction. 

  • Finance / Strategy / Legal / Tax / ESG: coordinate valuation inputs, investor messaging, SPA/TSA terms, tax structuring, and ESG disclosures. 

  • Stakeholder alignment: keep the regional MD and central Asset Rotation informed; drive decision clarity and escalation discipline. 

 

What You Bring: 

  • 10+ years of hands‑on experience in renewables M&A, project finance, transactions, or infrastructure investing (sell‑side execution a plus). 

  • Proven SPA leadership on late‑stage or operational solar/BESS transactions, including price‑adjustment mechanics, indemnities. 

  • Strong grasp of EPC interfaces, commissioning milestones, HSE deliverables, and risk allocation in solar/BESS. 

  • Working familiarity with Italy & EE regulatory frameworks for solar and storage; awareness of grid/land and permitting evidence requirements. 

  • Negotiation excellence, documentation control, and IC/stakeholder management. 

  • High execution discipline; able to run multiple transactions in parallel without loss of quality. 

  • Clear, structured communication; crisp executive updates and problem‑solving under time pressure. 

  • Languages: Fluent English required;  

 

Nice‑to‑Have: 

  • Exposure to hybrid configurations (PV+BESS) and merchant/hedged offtake structures. 

  • Experience with TSA design and post‑closing integration/transition. 

  • Familiarity with ESG due diligence expectations from institutional buyers.
